1. Acceptance of Terms

By accessing or using ZenPM ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We reserve the right to update these terms at any time, and continued use of the Service constitutes acceptance of any changes.

2. Description of Service

ZenPM is an AI-powered project management platform that allows users to manage projects, tasks, contacts, and communications through natural language input. The Service includes web-based access, client portals, email integrations, and AI-assisted features. Features may vary by subscription plan.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating an account. You agree to notify us immediately of any unauthorized use of your account. ZenPM is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Payment Terms

Paid plans are billed in advance on a monthly or annual basis through Stripe. All fees are non-refundable except as required by law. If your payment fails, we may suspend access to premium features until payment is resolved. We reserve the right to change pricing with 30 days' notice. Free tier users may be subject to usage limits as described on our pricing page.

5. Acceptable Use

You agree not to use ZenPM to:

• Violate any applicable laws or regulations.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Abuse the AI features by submitting excessive or automated requests designed to degrade performance.
• Impersonate another person or entity.
• Use the Service to send spam or unsolicited communications.

6. Intellectual Property

You retain all rights to the content you create and upload to ZenPM. By using the Service, you grant ZenPM a limited license to host, display, and process your content solely to provide the Service. The ZenPM name, logo, and all related trademarks, designs, and intellectual property are owned by ZenPM and may not be used without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, ZenPM and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Service Availability

We strive to keep ZenPM available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.

9. Termination

You may cancel your account at any time. We reserve the right to suspend or terminate your access to the Service if you violate these terms or engage in conduct that is harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after account deletion to allow for recovery, after which it will be permanently removed.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of the Service shall be resolved in the courts of the applicable jurisdiction. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
